STANDARD TERMS AND CONDITIONS OF SALE

First Point Digital Co., Ltd.

1. Definitions
- ​"Company" refers to First Point Digital Co., Ltd.
​- "Customer" refers to the individual or entity purchasing goods or services from the Company.
​- "Products" refers to hardware, software, systems, and/or services provided by the Company.

2. Quotations and Orders
​- All quotations are valid for 30 days from the date of issue unless otherwise stated.
​- Orders are considered accepted only when confirmed in writing by the Company.
- ​Any verbal commitments are not binding unless confirmed in writing.

3. Prices and Payment
​- All prices are exclusive of VAT unless stated otherwise.
- ​Payment terms: Full payment must be made within 30 days after receiving the official Purchase Order (PO).
- ​The Company reserves the right to suspend delivery or services for overdue accounts.
​- Late payments will be subject to a 1.5% monthly interest on the outstanding balance.

4. Delivery and Installation
​- Delivery dates are estimates only and may be adjusted due to availability or force majeure.
​- The Company will deliver or install the product or service within 7 business days after receiving the official PO and confirmed ​payment.
​- Installation (if applicable) will be conducted by qualified personnel according to the agreed scope.
​- Delays caused by the Customer (site not ready, missing information, etc.) may result in rescheduling fees.

5. Warranty and Support
​- Hardware warranties are per manufacturer’s policy unless otherwise stated.
​- Software/services developed by the Company carry a 3-month limited warranty covering functional bugs only. 
​- Warranty does not cover misuse, third-party alterations, or force majeure events.

6. Confidentiality
​- Both parties agree to keep confidential all technical, commercial, and personal information exchanged during the business relationship.
​- This obligation shall survive termination of the agreement.

7. Limitation of Liability
​- The Company shall not be liable for any indirect, incidental, or consequential damages, including data loss or business interruption.
​- Total liability shall not exceed the total amount paid by the Customer for the relevant order.

8. Intellectual Property
​- All intellectual property developed during the project remains the property of the Company unless explicitly transferred by agreement.

9. Cancellation and Returns
​- Orders may not be cancelled or amended without written approval.
​- Custom-developed software or special-ordered products are non-refundable.

10. Governing Law
​- These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Thailand.
​- In case of dispute, both parties agree to submit to the jurisdiction of the courts of Bangkok, Thailand.

11. Force Majeure
​- The Company is not liable for any delays or failures caused by events beyond its control, including natural disasters, internet outages, or government regulations.

12. Working Hours
​- The Company’s standard working hours are Monday to Friday, from 08:30 AM to 05:30 PM, excluding Thai national holidays and official public holidays.
​- Support or services requested outside these hours may be subject to additional charges or scheduled upon availability.

13. Entire Agreement
​- These terms, along with any quotation or contract, constitute the entire agreement between the parties and supersede all prior discussions.
